Representative Experience

 
• Sale of a privately held software company to a publicly traded software company.

• Working with a privately held international sales, marketing, and consulting company in the consumer packaged goods business: (i) the restructuring of the ownership of the company and buy-out of a major shareholder;  (ii) various international acquisition transactions;  and (iii) due diligence in potential strategic transactions.

• Acquisition and sale of various commercial real estate properties by a manufacturer and supplier of telecommunications equipment.

• Debt financing and joint venture transactions by healthcare providers and a regional hospital.

• Working with a publicly traded international electric utility holding company: (i) its $6.6 billion merger with another international electric utility holding company; (ii) various public and private debt and equity transactions; (iii) the formation, operation, restructuring, and termination of a telecommunications joint venture; (iv) an investment in a foreign utility company; (v) a leveraged lease financing transaction; and (vi) due diligence concerning potential acquisitions and divestitures.

• Financing and acquisition of a commercial real estate property by a privately held equipment manufacturer.

• Working with a publicly traded international oil and gas products and services provider:  (i) the formation of a joint venture with an international pump manufacturer; (ii) a spinoff of international and domestic manufacturing operations into a publicly traded company; (iii) numerous international and domestic merger, acquisition, and divestiture transactions ranging in size from $45 million to $840 million; (iv) various domestic and international debt and equity financing transactions; and (v) the formation, refinancing, restructuring, and sale of a joint venture with an international compressor manufacturer.

• Acquisition by a privately held international telecommunications company of another international telecommunications company for about $250 million.

• Private placements of interests in partnerships formed for the purpose of (i) oil and gas exploration and production; (ii) the operation of an intrastate gas pipeline; and (iii) investment in life insurance life settlements, with the amounts raised by such partnerships ranging from $500,000 to $54 million.

• Due diligence and structuring of a potential acquisition of wireless technology assets by a subsidiary of a publicly traded company.
